| USU Software AG acquires majority in Aspera GmbH |
Möglingen, 01.07.2010 Effective July 1, 2010, USU Software AG (Frankfurt, Prime Standard, ISIN DE000A0BVU28), Möglingen, ("USU"), will acquire a 51% stake in Aspera GmbH, Aachen, ("Aspera") initially, in order to strategically expand its portfolio. The purchase price for 51% of the shares is approximately EUR 3 million, of which roughly 50% will be settled in shares and roughly 50% in cash. The shares to be granted are to result from carrying out a capital increase by way of contribution in kind from the authorized capital of USU.
USU is aiming for a complete acquisition of Aspera within two years. For this reason, the parties have corresponding mutual option rights. The consideration for this 49% is dependent on certain factors, particularly Aspera's earnings.
At their meeting today, the Management Board and Supervisory Board of USU approved the purchase of the shares. The Management Board of USU and the partners of Aspera also signed the contracts for the purchase of the shares today.
Aspera is a highly specialized provider of solutions for software license management. Together with the products and specialist expertise of Aspera, USU will be one of the world's leading providers in the growth area of software asset management.
Aspera, established in the year 2000, currently employs a staff of 30 who work with international customers from various sectors, such as Deutsche Telekom, BASF, BMW, Nokia Siemens Networks and Orange. In fiscal 2009/10 the fast-growing company generated sales of around EUR 4 million and a significant double-digit profit margin.
