The corporate bodies of USU Software consist of the Board of Management, the Supervisory Board, the Annual Meeting and our Stockholders.
The Corporate Bodies have the following tasks and areas of responsibility: The Board of Management is responsible for independently managing and representing the enterprise in dealings with third parties; the Supervisory Board appoints and removes the members of the Board of Management and supervises management. German law provides for a two-tier management structure in a stock corporation, which means there is strict division between Board of Management and Supervisory Board. Among other duties, the Annual Meeting is responsible for electing and removing the members of the Supervisory Board and for deciding on the appropriation of distributable profits. The stockholders exercise their rights by participating in the Annual Meeting, through their right to information and dividends as well as, if need be, to the proceeds from liquidation.
